These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Member," "you," or "your") and [Legal Business Name], a company organized under the laws of [Jurisdiction] with a registered address at [Business Address] ("High Signal," "we," "us," or "our"), governing your access to and use of the High Signal network and related services (collectively, the "Service"). By submitting an application for membership or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Eligibility and Application
1.1. Membership in the Service is available by application only. Applicants must be of legal age to enter into a binding contract in their jurisdiction of residence and must meet at least one of the eligibility criteria published on the High Signal website at the time of application.
1.2. Satisfaction of the published eligibility criteria does not entitle an applicant to membership. High Signal retains sole and absolute discretion to approve, decline, or defer any application, without obligation to provide a reason for its decision.
1.3. Applications are reviewed on a rolling basis. High Signal will endeavor to notify applicants of the outcome of their application within a reasonable time following the close of the applicable cohort's application period.
1.4. As a condition of approval, an applicant must provide valid payment information, which will be used to process membership fees in accordance with Section 5.
1.5. Members may refer prospective applicants for consideration in future cohorts. Any such referral is subject to the same application and review process as all other applicants and confers no guarantee of acceptance.
2. Membership Fees and Pricing
2.1. Membership is offered in successive cohorts, each with its own published annual fee (the "Cohort Price").
2.2. A Member's annual fee shall be fixed at the Cohort Price applicable at the time such Member's application is approved, and shall not increase for so long as the Member's membership remains active and in good standing, notwithstanding any subsequent increase in the Cohort Price applicable to later cohorts.
2.3. All fees are quoted and payable in United States dollars unless otherwise stated.
3. Sessions
3.1. Each Member shall be entitled to participate in one scheduled live video session per week, comprising multiple short-form, one-on-one introductory conversations with other Members ("Intros").
3.2. Attendance at any given session is voluntary. Non-attendance shall have no effect on a Member's standing, pricing, or continued eligibility for membership.
3.3. Following each Intro, each participating Member may elect, in their sole discretion, whether to continue the conversation. Such election shall not be disclosed to the other participating Member, and no explanation for either election is required.
3.4. High Signal reserves the right to modify session format, frequency, duration, supported time zones, and language of service from time to time, with or without notice.
4. Member Conduct
4.1. Members agree to conduct themselves professionally and in good faith. High Signal reserves the right to suspend or terminate the membership of any Member whose conduct it determines to be harmful to other Members or to the network.
5. Fees, Billing, and Renewal
5.1. By submitting payment information under Section 1.4, a Member authorizes High Signal to charge the applicable Cohort Price to that payment method upon approval of membership and upon each subsequent annual renewal, unless canceled in accordance with Section 6. Membership renews automatically at the end of each annual term unless canceled prior to the renewal date, and High Signal will provide advance notice ahead of each renewal.
6. Cancellation and Refunds
6.1. A Member may cancel their membership at any time by providing notice to High Signal prior to their renewal date. Cancellation shall be effective at the end of the then-current annual term.
6.2. A Member who is dissatisfied with the Service may request a full refund of their membership fee within thirty (30) days of the commencement of their membership, without obligation to state a reason. Refund requests received after this thirty (30) day period shall be considered at High Signal's sole discretion.
7. Recording and Consent
7.1. As of the date of these Terms, sessions are not recorded by High Signal. Should High Signal elect to introduce recording functionality in the future, it will provide Members with advance notice and will not record any session absent the Member's affirmative opt-in consent.
8. Intellectual Property
8.1. All trademarks, trade names, logos, and other materials associated with High Signal are the property of [Legal Business Name] or its licensors. No Member shall use such materials without the prior written consent of High Signal.
9. Disclaimer of Warranties; Limitation of Liability
9.1. The Service is provided on an "as is" and "as available" basis. High Signal facilitates introductions between Members but makes no representation or warranty as to the outcome of any conversation, relationship, or business arrangement arising from participation in the Service.
9.2. To the maximum extent permitted by applicable law, High Signal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to a Member's use of the Service.
10. Business Transfer
10.1. In the event of a merger, acquisition, restructuring, or sale of all or substantially all of High Signal's assets, Member information may be transferred as part of that transaction, subject to the terms of the Privacy Policy then in effect.
11. Amendment
11.1. High Signal reserves the right to amend these Terms at any time. Continued use of the Service following the posting of amended Terms shall constitute acceptance of such amendments.
12. Governing Law and Jurisdiction
12.1. These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in [Jurisdiction].
